Terms of Service

Welcome to Spirian. Please read these Terms of Service ("Terms") carefully before using the Spirian mobile application, website, member area, waitlist, beta access, or related services (together, the "Service").

1. Agreement to Terms

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

Your use of Spirian is also governed by our Privacy Policy, which explains what data we collect, how we use it, how AI and memory work, how third-party providers process data, and how you can request deletion, memory reset, or export.

2. Provider Information

Spirian is operated by NKCADEV Studio, led by Adv. Nathan Kummel. Until a formal company is incorporated, NKCADEV Studio is the operator responsible for the Service and these Terms.

3. Eligibility

Spirian is intended solely for adults aged eighteen (18) and above. By using the Service, you represent that you are at least 18 years old. If you are under 18, you may not use Spirian.

4. Evolving Service Notice

Spirian is still evolving. Some features, guides, subscriptions, credit systems, memory behavior, content, or availability may change over time as we improve the Service.

We may add, remove, limit, suspend, or modify features where needed for security, reliability, legal compliance, app store policy compliance, product improvement, or user safety.

We work to keep Spirian reliable and safe, but the Service may sometimes be unavailable, delayed, interrupted, or changed.

5. Important Notice: Spirian Is Not a Clinical, Emergency, or Professional Service

A. Spirian is a companion, not a clinician.

Spirian is an AI-powered spiritual reflection companion. It does not provide medical care, mental health services, psychotherapy, diagnosis, treatment, emergency services, legal advice, financial advice, or professional religious authority.

B. Spirian is not for emergencies.

Spirian is not an emergency service and cannot provide urgent help. If you or someone else is in immediate danger, experiencing a medical emergency, considering self-harm, or in crisis, contact local emergency services, a crisis hotline, or a trusted qualified professional immediately.

C. Spirian does not replace human care.

Spirian may support reflection, spiritual exploration, journaling, study, and personal growth. It does not replace therapists, doctors, clergy, teachers, community support, trusted relationships, or your own judgment.

6. The Nature of AI Guides

By using the Service, you understand and agree that Spirian guides are AI-generated companions. They are not human beings, therapists, doctors, clergy members, religious authorities, spiritual masters, or divine entities.

  • AI outputs may be incomplete, inaccurate, inappropriate, misleading, or not suitable for your situation.
  • AI may make mistakes about scripture, religious traditions, spiritual practice, history, culture, facts, or personal advice.
  • You are responsible for evaluating responses and using your own judgment.
  • For important spiritual, religious, medical, mental health, legal, financial, safety, or life decisions, consult trusted human professionals, qualified leaders, or people you trust.

Spirian is here to support reflection, not to make decisions for you. You remain responsible for how you understand and use the guidance, reflections, practices, or suggestions you receive.

7. Reporting AI Responses

Spirian includes feedback tools that allow you to report or flag AI Guide responses that feel unsafe, offensive, inappropriate, incorrect, spiritually insensitive, harmful, or otherwise unhelpful.

We may review reported responses, nearby conversation context, account identifiers, timestamps, and technical logs as needed to investigate the issue, improve safety, enforce these Terms, improve moderation systems, and respond to support requests.

Reports may be used to improve content filtering, safety systems, moderation, and the quality of the Service.

8. Account Creation and Account Deletion

Some parts of Spirian may require an account. You agree to provide accurate information when creating or managing your account and to keep your login credentials secure.

If you create a Spirian account, you may request account deletion through the app settings where available, through your private account area on the Spirian website where available, by visiting spirian.ai/delete-account, or by contacting support.

Deleting your account removes your account and associated personal data, except for limited records we may need to keep for legal, security, fraud-prevention, payment, dispute-resolution, tax, accounting, or compliance reasons.

Deleting your Spirian account does not automatically cancel subscriptions managed by Apple, Google, or another payment provider. To avoid future charges, you must also cancel the subscription through the relevant app store or payment provider account settings.

9. User Content and Permissions

9.1 Your Ownership. You retain ownership of the content you submit to the Service, including your messages, reflections, journal entries, support messages, and feedback.

9.2 License to Spirian. To operate Spirian, you grant us a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, display, derive summaries or embeddings from, and otherwise use your submitted content solely as needed to:

  • provide the Service;
  • generate AI Guide responses;
  • provide memory, journaling, study, practice, and continuity features;
  • secure, debug, maintain, and improve the Service;
  • process feedback and support requests;
  • review reported or flagged content;
  • enforce these Terms; and
  • comply with applicable law.

9.3 Feedback. If you choose to provide feedback, ideas, suggestions, bug reports, or comments about the Service, you allow us to use that feedback to improve Spirian without restriction or compensation to you.

10. Acceptable Use

To maintain a safe, respectful, and lawful environment, you agree not to use Spirian to:

  • violate any law, regulation, or third-party right;
  • harass, abuse, threaten, bully, exploit, or harm another person;
  • generate or request hate, dehumanizing, extremist, or terrorist content;
  • generate or request sexual exploitation content or sexual content involving minors;
  • encourage suicide, self-harm, eating disorders, or harm to others;
  • request instructions for violence, abuse, exploitation, or illegal activity;
  • generate deceptive, fraudulent, impersonation, scam, or fake official content;
  • generate malicious code, credential theft, hacking, or system-abuse content;
  • misquote, fabricate, or present religious texts or spiritual authorities in a misleading way;
  • upload content that violates another person's privacy, confidentiality, or rights;
  • attempt to bypass safety filters, jailbreak the system, extract system prompts, or manipulate the AI into violating policies;
  • reverse engineer, scrape, overload, disrupt, interfere with, or abuse the Service, except where explicitly permitted by law;
  • use the Service to build, train, or improve a competing service without our permission.

We may restrict, suspend, or terminate accounts that violate these rules or create risk for users, the public, Spirian, or our service providers.

11. Safety, Moderation, and Limited Review

Spirian is not a crisis service. However, if automated safety systems, user reports, or support requests indicate a credible, serious, or imminent risk of self-harm, harm to others, abuse, exploitation, illegal activity, or other serious safety concerns, we may take reasonable steps.

  • present safety resources, such as crisis hotlines or emergency guidance;
  • restrict, suspend, or remove access where needed;
  • perform limited review of relevant flagged or reported content;
  • enforce these Terms and our safety policies;
  • comply with legal obligations or valid legal requests.

If you are in immediate danger or experiencing a crisis, contact local emergency services or a qualified crisis support service. Spirian cannot provide emergency help.

12. Paid Features, Credits, and Subscriptions

Spirian may offer free access, paid subscriptions, and add-on credit packs. Prices, billing periods, renewal terms, included features, credit amounts, and other purchase details will be shown at checkout before you confirm a purchase.

  • In-App Purchases on iOS:Where purchases are offered inside the iOS app, they are processed through Apple's in-app purchase system unless another payment option is expressly permitted by Apple's rules.
  • In-App Purchases on Android:Where purchases are offered inside the Android app distributed through Google Play, they are processed through Google Play Billing unless another payment option is expressly permitted by Google Play's rules.
  • Subscriptions: Subscriptions renew automatically unless cancelled according to the rules and settings of the relevant app store or payment provider. Cancellation usually takes effect at the end of the current billing period unless otherwise stated by the provider.
  • Add-On Credit Packs: Add-on credit packs are digital consumables. Once credits are used, they are generally not refundable except where required by law or by the applicable app store or payment provider policy.
  • Changes: We may change available plans, pricing, credit amounts, features, or promotions from time to time. Changes will apply according to the rules of the relevant app store, payment provider, and applicable law.

Deleting your Spirian account does not automatically cancel a subscription managed by Apple, Google, or another payment provider. To avoid future charges, you must cancel the subscription through the relevant app store or payment provider account settings.

13. App Store and Platform Terms

If you download Spirian through Apple App Store, Google Play, or another app marketplace, your use of the app may also be subject to that platform's terms, payment rules, refund rules, and subscription management tools.

For purchases made through Apple or Google, billing, cancellation, refunds, and subscription management may be handled by Apple or Google according to their own policies.

If there is a conflict between these Terms and mandatory app store rules that apply to a purchase or distribution channel, the applicable app store rules will control to the extent of that conflict.

Spirian is not endorsed by Apple, Google, or any app store provider unless expressly stated by that provider.

14. Third-Party Services

Spirian uses third-party service providers to operate the Service, including OpenAI, Google Cloud, MongoDB Atlas, RevenueCat, Apple, Google, authentication providers, and other infrastructure, analytics, payment, security, or support providers.

We are not responsible for outages, errors, delays, billing issues, or service failures caused by third-party providers beyond our reasonable control. We remain responsible for how we choose and use service providers as described in our Privacy Policy and applicable law.

15. Intellectual Property

Spirian, including its design, software, guide concepts, interface, graphics, text, features, branding, logos, and other content created by or for Spirian, is owned by NKCADEV Studio or its licensors and is protected by applicable intellectual property laws.

These Terms do not grant you ownership of Spirian, the software, the AI Guide system, the prompts, the guide designs, or any Spirian intellectual property. You may use the Service only as permitted by these Terms.

16. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AND WITHOUT LIMITING ANY NON-WAIVABLE CONSUMER RIGHTS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, ACCURATE, COMPLETE, RELIABLE, OR SUITABLE FOR YOUR PARTICULAR NEEDS.

WE DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

17. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, AND WITHOUT LIMITING ANY NON-WAIVABLE CONSUMER RIGHTS:

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, GOODWILL, USE, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO SPIRIAN FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) FIFTY U.S. DOLLARS ($50).

18. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify and hold NKCADEV Studio, its operators, team members, service providers, and partners harmless from claims, disputes, demands, liabilities, damages, losses, and expenses, including reasonable legal and accounting fees, arising out of or related to your use of the Service, your submitted content, your violation of these Terms, or your violation of law or third-party rights.

This section does not limit any non-waivable consumer rights that apply to you.

19. Suspension and Termination

You may stop using the Service at any time. You may also request account deletion as described in these Terms and in our Privacy Policy.

We may suspend or terminate access where reasonably necessary, including if you violate these Terms, misuse the Service, create safety or security risks, fail to pay required fees, attempt to bypass protections, create legal risk, or if we discontinue the Service or a material part of it.

Where practical, we will provide notice, but we may act without prior notice when needed for safety, security, legal compliance, fraud prevention, or protection of the Service.

20. Governing Law and Consumer Rights

These Terms are governed by the laws of the State of Israel, without regard to conflict of law rules, except where mandatory laws in your country or region require otherwise.

You agree that any legal suit, action, or proceeding arising out of or related to these Terms or the Service shall be brought in the competent courts located in Tel Aviv, Israel, unless mandatory consumer protection laws give you the right to bring a claim elsewhere.

Nothing in these Terms limits any mandatory consumer protection rights that cannot be waived under the laws of your country or region of residence.

21. Changes to These Terms

We may update these Terms from time to time as Spirian evolves. If changes are material, we will provide notice through the app, website, email, or another appropriate method where practical.

Continued use of the Service after updated Terms become effective means you accept the updated Terms, where permitted by applicable law. If you do not agree to the updated Terms, you should stop using the Service.
